Bylaws

Article I–Name

The name of this organization shall be the Emeriti of California State University, Fullerton.

Article II–Purpose

The purpose of the organization shall be to promote the welfare of California State University, Fullerton; to enhance the continuing professionalism of the Emeriti, and to provide for the fellowship of the members.

Article III–Membership

Section 1.

Those eligible for membership shall include all persons awarded Emeriti status by the President of California State University, Fullerton.

Section 2.

Those eligible for associate membership shall be the spouse of any deceased Emeriti.

Section 3.

Each member and associate member shall pay annual dues. The Executive Committee shall determine the amount of the annual dues. Any change in dues is subject to ratification by the entire member-ship. Annual memberships are renewable on July 1st.

Article IV–Officers and Executive Committee

Section 1.

The officers of the organization shall be a president, a vice president, a secretary, and a treasurer.

Section 2.

The officers shall serve for a one year term, or until their successors have been duly elected. The term begins July the first of each year.

Section 3.

Officers for the succeeding year shall be elected by a majority vote of those members present and voting at the last meeting of the year.

Section 4.

Duties of Officers:

  1. The president shall serve as the principal officer and will preside at all meetings of the members and will serve as ex-officio member of all committees.
  2. The vice president shall perform the duties of president in the absence thereof. He or she shall be responsible for program development and arrangement for meetings, and shall perform such other duties as shall be assigned by the president.
  3. The secretary shall record minutes of the meetings of the members, shall provide notification of the meetings, and shall do other correspondence deemed necessary by the president.
  4. The treasurer shall be responsible for collecting dues and for the handling of all fiscal affairs.

Section 5.

Academic Senate Representative:

The Emeritus member of the Academic Senate shall be elected for a two-year term and shall be eligible for immediate reelection. The election will coincide with the election of officers (Article IV, Section 3). The representative shall be an official member of the Executive Committee of the Emeriti.

Section 6. Any vacancy in the unexpired term of an office shall be filled by appointment by the remaining officers for the balance of the term of the vacant office. In the event that all offices are vacant, the offices shall be filled by election by the membership.

Section 7.

The Executive Committee shall include the president, vice president, secretary, treasurer, representative to the CSUF Academic Senate, the immediate past president, director of special projects, newsletter editor, Emeriti records coordinator, and the scholarship committee chair. The Executive Committee shall plan and evaluate activities of the Emeriti toward the purpose stated in Article II above. To carry out that purpose, the Executive Committee shall have the authority to appoint members to specific responsibilities for the organization.

Article V–Meetings

There shall be meetings held a minimum of three times per year (fall, winter, spring) unless announced otherwise by the president of the organization. A quorum shall consist of twenty five percent of all members of the organization or ten members, which ever is the lesser number.

Article VI–Committees

The committees shall consist of those so designated by the president, who also shall determine their functions. Members of all committees shall be appointed by the president.

Article VII–Scholarship Fund

Section 1.

An Emeriti Memorial Scholarship Fund is established in the CSUF University Advancement Foundation. The principal shall be an endowment on permanent deposit. Interest from this fund shall be used to provide a scholarship to one or more students.

Section 2.

A contribution shall be made from the Emeriti treasury to the Endowment Fund in memory of each deceased Emeriti. Notification of the contribution shall be sent to the family of the deceased.

Section 3.

A Scholarship Committee shall be appointed by the president. The duties of this committee shall include determining the amount of the scholarship and selecting the scholarship recipient(s).

Article VIII–Affiliation with ERFA

Emeriti of California State University, Fullerton is an affiliate of the CSU Emeritus and Retired Faculty Association.

Article IX–Parliamentary Authority

Robert's Rules of Order (revised) shall serve as the guide for parliamentary procedure.

Article X–Method of Amending the Bylaws

The bylaws may be amended by majority vote of those present at any meeting, provided notice of the proposed amendments accompanies notice of the meeting.
